Terms of Service

Please review these Terms of Service carefully before utilizing the Batch & Scoop platform, formulation studio, and commercial creamery production tools.

1. Acceptance of Terms

By accessing or using the Batch & Scoop website (www.batchscoop.com), formulation tools, or commercial cloud management dashboard, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must discontinue use immediately.

2. Services & The Hobbyist Promise

Batch & Scoop provides digital formulation utilities, anti-freezing power (PAC) calculations, sweetening index (POD) evaluations, batch costing models, and commercial creamery production tools.

3. User Accounts & Responsibilities

Certain features require creating an account. This includes persistent recipe libraries, custom ingredients, sub-recipe costing, and multi-location operations. You agree to maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.

4. Commercial Subscriptions & Billing

  • Subscription Tiers: Paid commercial tiers (Single Scoop, Premium Scoop, Pro Scoop) are billed in advance on a recurring monthly or annual basis via Stripe.
  • Cancellations: You may cancel your subscription at any time through your account billing settings. Your access continues through the end of the current paid billing cycle.
  • Refunds: Because paid tiers immediately grant access to premium formulation features and database storage, payments are generally non-refundable except where required by law.

5. Intellectual Property & Ownership

Your Formulas Remain Yours: You retain exclusive copyright, trade secret rights, and intellectual property ownership over all recipes, custom ingredient specs, and batch notes entered into Batch & Scoop.

Batch & Scoop retains all rights, title, and interest in and to the platform software, algorithms, UI design, documentation, and database schemas.

6. Food Safety, Nutritional Labeling & Allergen Disclaimer

Batch & Scoop provides computational recipe modeling, formulation balancing, and nutritional and allergen estimation tools. Calculations, nutritional analyses, and allergen markers provided by the software are for operational reference and recipe estimation only, and do not constitute certified food safety audits, official allergen verifications, or regulatory compliance certifications.

Commercial food manufacturers and food service operators are solely responsible for ensuring products comply with applicable regulatory bodies (including the FDA, USDA, EFSA, CFIA, or local health authorities). Users retain sole responsibility for conducting mandatory food safety and laboratory testing, monitoring physical facility cross-contamination, adhering to legal pasteurization and microbial safety standards, and ensuring the accuracy of all retail ingredient and allergen packaging disclosures.

7. Acceptable Use

You agree not to:

  • Engage in automated scraping or denial-of-service attempts against our infrastructure.
  • Use the platform to formulate substances that violate local or federal health and safety laws.

You are, however, allowed to:

  • Reverse-engineer, decompile, or extract the source code of the formulation algorithms and only the formulation algorithms.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Batch & Scoop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, inventory spoilage, or commercial business interruptions arising out of your use of or inability to use the platform.

9. Changes & Governing Law

We reserve the right to modify these Terms to reflect operational or regulatory changes. We will notify active account holders of material updates via email or platform announcement.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
